Terms of Service

1. Acceptance of Terms

By accessing or using ReplyNodes (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3. Service Description

ReplyNodes is an agent-native social publishing platform that lets you plan, draft, schedule, publish, and analyze content across 28+ social and chat channels, including Facebook, Instagram, Threads, LinkedIn, X, TikTok, and YouTube. Features may be added, changed, or removed at any time.

4. Connected Third-Party Platforms

To publish and retrieve analytics, you connect third-party accounts (e.g. Meta, LinkedIn, X, TikTok) via OAuth. Your use of those platforms remains subject to their own terms of service — including Meta's Platform Terms and Community Standards for Facebook and Instagram. ReplyNodes is not responsible for the availability, policies, or API changes of third-party platforms, and your access to publish through a given platform may be limited or revoked by that platform independently of ReplyNodes.

5. Your Content

You retain all intellectual property rights in the content you create, upload, or schedule through the Service ("Your Content"). You grant ReplyNodes a limited, non-exclusive license to store, process, and transmit Your Content solely as necessary to operate the Service, including publishing it to the platforms you connect. You are solely responsible for Your Content and for ensuring you have the rights necessary to publish it.

6. Acceptable Use

You agree not to use the Service to:

  • Publish unlawful, infringing, defamatory, or fraudulent content;
  • Engage in spam, fake engagement, or artificial amplification;
  • Violate the terms, policies, or community standards of any connected platform;
  • Attempt to circumvent rate limits, security controls, or access restrictions;
  • Reverse engineer, resell, or gain unauthorized access to the Service or other accounts.

7. AI Features

The Service may offer AI-assisted drafting, chat, and agent (MCP) tools. Outputs from these features may be inaccurate or unsuitable for direct publication. You are responsible for reviewing any AI-generated content before it is published and for complying with applicable disclosure requirements for AI-generated or AI-assisted content.

8. Billing

Paid subscriptions renew automatically at the then-current rate for the billing period you selected (monthly or annual) unless cancelled before the renewal date. Fees are non-refundable except where required by law. We will provide at least 30 days' notice of any price increase that affects your subscription.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data, including data obtained through connected platforms such as Facebook and Instagram.

10. Termination

You may stop using the Service and delete your account at any time by contacting support@replynodes.com. We may suspend or terminate your access if you violate these Terms or if required to comply with a connected platform's policies.

11. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, ReplyNodes will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, and our total liability for any claim will not exceed the amount you paid us in the 12 months preceding the claim.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new "Last updated" date, and material changes will be communicated to you in advance where required by law.
